Terms and Conditions

INTERNET SERVICE TERMS AND CONDITIONS
FOR BUSINESS CLIENTS IN BOTSWANA

1. INTRODUCTION
1.1 These Terms and Conditions ("Agreement") govern the provision of Starlink Priority Internet services ("Service") by T-Connect ("Provider") to __________________________________________________________ ("Client").
1.2 By subscribing to or using the Service, the Client agrees to comply with and be bound by this Agreement.
1.3 The Provider reserves the right to modify these Terms and Conditions at any time, with reasonable notice to the Client.

 

2. SERVICE PROVISION
2.1 The Provider shall supply the Client with Starlink Priority Internet access and related services as specified in the signed Service Agreement.
2.2 The Service is subject to availability, network capacity, and applicable regulatory requirements.
2.3 The Client acknowledges that service speeds and performance may vary due to external factors beyond the Provider’s control.

 

3. SERVICE USAGE
3.1 The Client agrees to use the Service only for lawful business purposes and in compliance with all applicable laws and regulations of Botswana.
3.2 The Client shall not engage in any activity that may interfere with the operation of the Provider’s network or compromise its security.
3.3 The Provider reserves the right to suspend or terminate the Service if it is used for illegal, fraudulent, or unauthorized activities.

 

4. SERVICE FEES AND PAYMENT TERMS
4.1 The Client shall pay the applicable fees as specified in the Service Agreement.
4.2 Payments shall be made on a monthly basis or as otherwise agreed, with invoices payable within [number] days from the invoice date.
4.3 Late payments may result in service suspension and/or late payment fees.
4.4 The Provider reserves the right to revise pricing with prior written notice to the Client.

 

5. SERVICE LEVEL AGREEMENT (SLA)
5.1 The Provider will use reasonable efforts to maintain Service availability of _____%.
5.2 In the event of a Service outage, the Provider shall endeavour to restore connectivity within the timelines specified in the SLA.
5.3 The Client acknowledges that scheduled maintenance or unforeseen circumstances may temporarily affect service quality.

 

6. EQUIPMENT AND INSTALLATION
6.1 The Provider may supply and install necessary equipment for Service provision.
6.2 All equipment supplied remains the property of the Provider for the duration of the service contract until fully paid or unless otherwise stated in the Service Agreement.
6.3 The Client is responsible for the proper use and safekeeping of Provider-owned equipment. Any damage, loss, or theft shall be at the Client’s expense.
6.4 The Client shall not relocate or move any equipment without the Provider’s prior written authorization or support. Unauthorized movement of equipment will void any applicable warranties and may result in service disruptions or additional charges for reinstallation.

 

7. DATA PRIVACY AND SECURITY
7.1 The Provider shall take reasonable measures to protect Client data in compliance with applicable data protection laws in Botswana.
7.2 The Client is responsible for securing its network and devices against cyber threats, unauthorized access, and data breaches.

 

8. TERMINATION AND CANCELLATION
8.1 The Client agrees to a 24-month contractual term for the Service. Early termination by the Client will require full payment of the remaining contract duration.
8.2 Either party may terminate this Agreement by providing 30 days’ written notice.
8.3 The Provider may terminate the Service immediately if the Client breaches any material terms of this Agreement.
8.4 Termination of the Service does not relieve the Client of any outstanding payment obligations.

 

9. LIABILITY AND INDEMNITY
9.1 The Provider shall not be liable for any indirect, consequential, or incidental damages arising from Service interruptions, data loss, or cybersecurity breaches.
9.2 The Client agrees to indemnify the Provider against any claims, damages, or losses arising from the Client’s misuse of the Service.

 

10. RELOCATION
10.1 If the Client wishes to relocate the Service to a new address, they must notify the Provider in writing at least 14 business days in advance.
10.2 The Provider will assess feasibility and, if possible, facilitate the relocation at an additional cost.
10.3 Service relocation is subject to network availability at the new location. If service cannot be provided at the new location, the Client remains responsible for any outstanding contractual obligations.

 

11. FORCE MAJEURE
11.1 The Provider shall not be held liable for failure to perform its obligations due to circumstances beyond its control, including but not limited to natural disasters, regulatory actions, or network disruptions.

 

12. GOVERNING LAW AND DISPUTE RESOLUTION
12.1 This Agreement shall be governed by the laws of Botswana.
12.2 Any disputes arising from this Agreement shall be resolved amicably through negotiation. If unresolved, disputes shall be referred to arbitration in Botswana in accordance with the Arbitration Act.

 

13. MISCELLANEOUS
13.1 This Agreement constitutes the entire understanding between the parties and supersedes any prior agreements.
13.2 No waiver or modification of any terms shall be valid unless in writing and agreed upon by both parties.
13.3 The Client may not assign or transfer its rights under this Agreement without the Provider’s written consent.
